By accessing or using TMG Tools Portal (the "Service"), operated by The Moderate Genius, SFWP US LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service.

TMG Tools Portal is a platform that provides AI-powered business intelligence tools, including lead analysis, scoring, and conversation insight extraction. Features may be added, modified, or removed at our discretion with reasonable notice.

You are responsible for maintaining the accuracy of your account information, the security of your credentials, and all activity that occurs under your account. You may not share your credentials or transfer your account to another person. You must notify us immediately of any unauthorized access.

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable laws.
• Upload content that you do not have the right to share.
• Attempt to access other users' data or organizations without authorization.
• Interfere with or disrupt the Service or its infrastructure.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to build a competing product or service.

The Service and its original content, features, and functionality are owned by The Moderate Genius, SFWP US LLC and are protected by applicable intellectual property laws. You retain ownership of all data you upload. By using the Service, you grant us a limited license to process your data solely to provide the Service to you.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. The Service is hosted in the United States. By using the Service, you acknowledge that your data may be transferred to and processed in the United States. For users in the European Economic Area, we ensure appropriate safeguards for international transfers as described in our Privacy Policy. The Service allows you to connect third-party platforms such as CRM systems and meeting providers. These connections are initiated by you and are subject to each third party's own terms and privacy policies. We are not responsible for the availability, accuracy, or policies of third-party services, or for data loss caused by their outages or changes.

Our Service uses artificial intelligence to generate analysis, scores, and insights. AI-generated outputs are informational only and should not be relied upon as professional, legal, financial, or medical advice. Outputs may contain errors or inaccuracies, and you are responsible for reviewing and verifying any results before acting on them. We do not guarantee the accuracy or completeness of AI-generated content.

We strive to maintain high availability but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control, and will make reasonable efforts to provide advance notice of planned downtime.

To the maximum extent permitted by law, The Moderate Genius, SFWP US LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including loss of revenue, data, or business opportunities, or decisions made based on AI-generated outputs. Our total liability for any claim shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

You agree to indemnify and hold harmless The Moderate Genius, SFWP US LLC and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service in violation of these Terms, content you upload that infringes on third-party rights, or your violation of applicable law.

We may suspend your access immediately if you violate these Terms. For non-violation termination, we will provide at least 30 days' notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases and your data will be deleted in accordance with our Privacy Policy within 30 days. Provisions regarding intellectual property, liability, indemnification, and governing law survive termination.

We may update these Terms from time to time. Material changes will be posted with a revised date, and continued use constitutes acceptance. These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Nothing in these Terms affects the statutory rights of consumers in the European Economic Area or any other jurisdiction where such rights cannot be waived by contract. If any provision is found unenforceable, it will be limited to the minimum extent necessary so that the remaining Terms remain in effect.
